MCA Notifies New Jurisdictional Structure for Registrars of Companies under LLP Act

The Ministry of Corporate Affairs (MCA) has issued Notification S.O. 4849(E) dated 23rd October 2025, announcing the establishment of new offices and jurisdictions for Registrars of Companies (RoCs) under the Limited Liability Partnership (LLP) Act, 2008.

This restructuring marks an important administrative reform aimed at improving governance, streamlining registration, and enhancing the efficiency of LLP-related services across India. The notification has been issued under the powers conferred by sub-sections (1) and (2) of Section 68A of the LLP Act, 2008, empowering the Central Government to establish Registrars to discharge functions under the Act.

The new framework will come into effect on 1st January 2026.

Objective of the Notification

The MCA’s initiative to reorganize the jurisdiction of Registrars of Companies is driven by the need to ensure better regional accessibility, faster service delivery, and balanced administrative workload. With the growing number of LLPs across India and the expanding scope of compliance under the LLP Act, the move seeks to strengthen institutional capacity and improve responsiveness to stakeholder needs.

This notification also complements the MCA’s broader digital transformation under the MCA V3 portal, aligning physical jurisdictions with digital workflows for efficient governance.

Overview of the New Registrar Jurisdictions

The notification specifies the establishment of several new Registrar offices along with clearly demarcated territorial jurisdictions. Below is an overview of key jurisdictions notified:

  1. Registrar of Companies, NCT of Delhi–I (South Delhi):
    Jurisdiction over the districts of South Delhi, Southwest Delhi, New Delhi, Southeast Delhi, and East Delhi.
  2. Registrar of Companies, NCT of Delhi–II (Central Delhi):
    Jurisdiction over Central Delhi, West Delhi, North Delhi, Northwest Delhi, Northeast Delhi, and Shahdara.
  3. Registrar of Companies, Haryana (Chandigarh):
    Jurisdiction over the entire State of Haryana.
  4. Registrar of Companies, Uttar Pradesh–I (Kanpur):
    Covers a wide range of districts including Lucknow, Gorakhpur, Prayagraj, Varanasi, Bareilly, and Kanpur Nagar, among others.
  5. Registrar of Companies, Uttar Pradesh–II (Noida):
    Jurisdiction over districts such as Agra, Aligarh, Mathura, Meerut, Ghaziabad, and Gautam Buddha Nagar.
  6. Registrar of Companies, Mumbai–I (Mumbai):
    Covers the districts of Mumbai and Mumbai Suburban.
  7. Registrar of Companies, Mumbai–II (Navi Mumbai):
    Jurisdiction over districts including Nashik, Thane, Raigad, Palghar, Jalgaon, and Aurangabad.
  8. Registrar of Companies, Nagpur:
    Covers Vidarbha and Marathwada regions, including Nagpur, Amravati, Latur, Nanded, and Yavatmal.
  9. Registrar of Companies, Kolkata–I (Kolkata):
    Jurisdiction over the district of Kolkata and the State of Sikkim.
  10. Registrar of Companies, Kolkata–II (Kolkata):
    Jurisdiction over the State of West Bengal, excluding the district of Kolkata.

Significance for LLP Stakeholders

This reorganization will benefit LLPs by:

  • Enhancing accessibility to local Registrar offices.
  • Reducing processing delays for registration and compliance-related matters.
  • Improving clarity in jurisdictional responsibilities.
  • Supporting better regional compliance monitoring under the LLP Act, 2008.

By expanding and redistributing administrative responsibilities, the MCA is ensuring that the growing ecosystem of Limited Liability Partnerships in India continues to receive efficient regulatory support.

Effective Date and Implementation

The notification will come into force from 1st January 2026, from which date all matters relating to LLP registration and compliance will be handled by the respective Registrars of Companies as per their defined jurisdictions.

This structural enhancement demonstrates the MCA’s continued commitment to improving ease of doing business, fostering transparency, and ensuring robust corporate governance through both digital and administrative reforms.
