BSE Circular directing entities to ensure correct disclosure of record date on book closure

The Bombay Stock Exchange (‘BSE’) has issued a Circular on 07 June 2019 to all listed entities asking them to ensure correct filing of all disclosure regarding corporate actions for Record date intimation and dividend.

BSE has observed that few companies are uploading the corporate actions (e.g. record date for dividend etc.) disclosure as Outcome of the Board / Committee meeting under Regulation 30 (Disclosures of Events) or Regulation 50 (Intimation to Stock Exchange).

Hence, BSE has reminded Listed entities to ensure that the intimation regarding fixation of record date for any corporate action or Book closure, is separately intimated to the Exchange under Regulation 42 (Record Date – Equity) or Regulation 60 (Record Date – Debt), as may be applicable.

The exchange has also mentioned that, non-intimation of correct disclosure of record date or book closure separately under Regulation 42 or Regulation 60 as the case may be, may result in the Exchange not taking the same on record and subsequent consequences would be at the risk and peril of the issuer companies.
