In a major step toward administrative decentralization and improved corporate governance, the Ministry of Corporate Affairs (MCA) has issued Notification S.O. 4850(E) dated 23rd October 2025, establishing a revised framework for Registrars of Companies (RoCs) under the Companies Act, 2013.
This restructuring, implemented under the powers conferred by sub-sections (1) and (2) of Section 396 of the Act, aims to enhance the efficiency of corporate registration and compliance processes across India. The new jurisdictions will officially come into effect on 1st January 2026.
Objective of the Notification
The MCA’s decision to redefine and expand the jurisdictions of Registrars of Companies is part of a broader reform to streamline company administration and improve accessibility for businesses across various regions.
By revisiting the territorial jurisdiction of RoCs, the Ministry seeks to ensure better workload distribution, timely processing of applications, and effective monitoring of corporate compliance. The move aligns with the government’s ongoing efforts under the Ease of Doing Business and Digital Corporate Governance initiatives, ensuring that companies experience faster and more efficient regulatory interactions.
Overview of the New Registrar Jurisdictions
The notification establishes several new Registrar offices and clearly defines their territorial boundaries. Below is a summary of the key jurisdictions announced:
- Registrar of Companies, NCT of Delhi–I (South Delhi):
Jurisdiction includes the districts of South Delhi, Southwest Delhi, New Delhi, Southeast Delhi, and East Delhi. - Registrar of Companies, NCT of Delhi–II (Central Delhi):
Covers the districts of Central Delhi, West Delhi, North Delhi, Northwest Delhi, Northeast Delhi, and Shahdara. - Registrar of Companies, Haryana (Chandigarh):
Jurisdiction over the entire State of Haryana. - Registrar of Companies, Uttar Pradesh–I (Kanpur):
Covers a large jurisdiction including major districts such as Lucknow, Kanpur Nagar, Prayagraj, Varanasi, Bareilly, Gorakhpur, and others across eastern and central Uttar Pradesh. - Registrar of Companies, Uttar Pradesh–II (Noida):
Jurisdiction includes western UP districts like Agra, Aligarh, Mathura, Meerut, Ghaziabad, and Gautam Buddha Nagar. - Registrar of Companies, Mumbai–I (Mumbai):
Jurisdiction limited to Mumbai and Mumbai Suburban districts. - Registrar of Companies, Mumbai–II (Navi Mumbai):
Covers districts such as Nashik, Thane, Raigad, Jalgaon, Aurangabad, and Palghar. - Registrar of Companies, Nagpur:
Jurisdiction includes Vidarbha and Marathwada regions with districts like Nagpur, Amravati, Nanded, Latur, Chandrapur, and Yavatmal. - Registrar of Companies, Kolkata–I (Kolkata):
Jurisdiction confined to the district of Kolkata. - Registrar of Companies, Kolkata–II (Kolkata):
Jurisdiction covers the entire State of West Bengal except the district of Kolkata.
Significance and Impact
The reorganization of Registrar jurisdictions under the Companies Act, 2013, will have several benefits for the corporate sector:
