The Central Government requires companies to display their annual returns on company websites from 28th August 2020

The Central Government has appointed 28th August 2020 as the date on which the provision of section 23 clause (ii) of the Company (Amendment) Act, 2017 shall come into force.

As per the said provision of the Company (Amendment) Act, 2017, every company is required to place a copy of the annual return on the website of the company. Further, the web-link of such annual return must be disclosed in the report of the Board of Directors.

The annual return must be in the prescribed form containing the particulars as they stood on the close of the financial year.

These particulars include but are not limited to the following aspects of a company:

  • its registered office, principal business activities, particulars of its holding, subsidiary and associate companies;
  • its shares, debentures and other securities and shareholding pattern;
  • its members and debenture-holders along with changes therein since the close of the previous financial year;
  • its promoters, directors, key managerial personnel along with changes therein since the close of the previous financial year;
  • meetings of members or a class thereof, Board and its various committees along with attendance details
